Matfer Bourgeat Commercial Credit Application - Year 2006

TERMS AND CONDITIONS        Matfer Bourgeat, Inc., a California corporation, is pleased to extend Net 30 day terms to Customer, which is a reseller, upon receipt of this Commercial Credit Application duly signed by Customer and receipt of adequate and substantiating business/financial information. Matfer Bourgeat, pending such receipt and approval, will process orders on a C.O.D. or prepaid basis, upon receipt of a bank reference only, while open account is being processed.        Permission to verify the information herein with these and other credit references is hereby granted by Customer to Matfer Bourgeat and Customer authorizes all of its creditors or financial institutions to divulge such information. For the purpose of establishing and maintaining credit, Customer represents that the information herein, both written and printed, is a true, complete and correct information regarding Customer's financial condition on the date stated below. Customer shall notify Matfer immediately, in writing, of any material change in Customer's financial condition, change of ownership, and/or legal name.        The following terms and conditions shall apply to all quotations, contracts and/or purchase orders covering the sale of products by Matfer Bourgeat to Customer. Any additional or different terms proposed by Customer are hereby objected to and shall be of no effect nor under any circumstance binding upon Matfer Bourgeat unless specifically agreed to in writing by Matfer Bourgeat's C.E.O. All Matfer Bourgeat products hereafter sold to Customer are subject to Matfer Bourgeat's then applicable terms and conditions of sale, including its Limited Warranty, a copy of which is available on request, and such terms and conditions of sale replace any prior oral or written communication between Customer and Matfer.        Customer agrees to pay all amounts due, including any late payment fees, as Matfer Bourgeat specifies in the invoice. Currently, accounts exceeding payment terms will be assessed a one and one/half percent (1.5%) late payment fee for each month or partial month until full payment is received. If any authority imposes a duty, tax, levy or fee, excluding those based on Matfer Bourgeat's net income, on any product purchased from Matfer Bourgeat, then Customer agrees to pay that amount as specified in the invoice or supply appropriate exemption documentation. Except as otherwise stated, Customer is responsible for all shipping charges.        Customer agrees to pay all costs of collection, including reasonable attorneys' fees, in the event of failure to pay any invoice when due, and a $25.00 return check fee for any Customer check returned by payee's financial institution.

CONTINUING GUARANTY (required if in business less than two years):         As an inducement for Matfer Bourgeat to grant credit to or assume a credit risk to the Customer, the undersigned shall pay to Matfer Bourgeat forthwith when due, and without deduction or any set-off of Customer or Guarantor, the full amount of all obligations or indebtedness owed to Matfer Bourgeat by Customer to the extent of, together with interest thereon, late payment fees, and for the costs of collection and enforcement of this Guaranty, including reasonable attorneys' fees whether or not suit is filed.         The obligations of Guarantor set forth herein are a primary and unconditional obligation and cover all existing and future indebtedness of Customer to Matfer Bourgeat. The obligations shall be enforceable before or after court proceedings against the Customer. This is a continuing guaranty and shall be revocable only as to transactions entered into subsequent to the receipt by Matfer Bourgeat of a written notice of termination of this Guaranty signed by Guarantor.         Guarantor hereby waives any right it may have to receive notice of (a) orders, sales, and deliveries to Customer, and the amounts and terms thereof, and (b) all defaults by or disputes with Customer, and the settlement or adjustment of such defaults or disputes. Nothing contained herein shall be construed as an obligation on Matfer Bourgeat's part to sell, continue to sell or extend credit to Customer.         If more than one person signs this Guaranty, the obligations of the guarantors shall be joint and several and independent of the obligations of Customer and of each other. This Guaranty shall for all purposes be deemed to be made in Van Nuys, California, and shall be governed by the laws of the state of California.
